Company: 

Our client is a human-sized AIFM based in Luxembourg,  Strassen. As part of their dedicated team, the  Corporate & Compliance Officer will play a pivotal role in managing corporate affairs and ensuring compliance with their diverse portfolio of funds. 

You will work closely with the Conducting Officer and collaborate with internal teams, external auditors, lawyers, investors, and regulators.

Role and Responsibilities: 

Corporate :

  • Organization of board meetings and shareholders' meetings (AGMs and EGMs).
  • Preparation of board packs, drafting of standard legal documents such as convening notices, proxies, attendance lists, and minutes for corporate administration (e.g., annual account approval, transfer of seat, change of manager…).
  • Daily maintenance of company documentation (statutes, notices, proxies, contracts…)
  • Organize the incorporation/liquidation of companies in front of a notary.
  • Assist the company and its different stakeholders with the following:
  • Audit queries
  • opening of bank accounts and business relationships with service providers where relevant
  • Keeping track of legal documents, including archiving filing documentation on the server and in the files.
  • Execution of documents and ensuring that appropriate signatures are obtained
  • preparation of agreements, financial instruments, and resolutions related to SPVs
  • Review of standard legal documentation
  • Update of share registers, structure charts, and RCS /RBE

Compliance :

  • Ensure compliance with AML and KYC requirements for entities and SPVs.
  • Update investors' KYC records and handle external KYC requests.
  • Update Ultimate Beneficial Owners and Luxembourg Business Register.
  • Monitor AML and compliance procedures to stay current with regulations.

 

Profile: 

  • Bachelor's degree in Law or similar
  • 2 - 4 years (maximum) of experience as a Corporate Officer (funds) in a service provider, AIFM, law firm, or PSF in Luxembourg or France.
  • Previous experience dealing with funds required.
  • Being fluent in English and other languages is an asset.
