The Senior Corporate Counsel F/M is responsible for overseeing legal advisory, facilitating the establishment and maintenance of corporate entities and investment funds, and providing related administrative support. You will ensure that the company delivers effective legal guidance and assistance to its clients and counterparts.

- Handling the legal aspect from a client-investor perspective for alternative funds (Private Equity).
- Providing guidance on corporate structuring and various project-related matters
- Establishing, maintaining, and liquidating companies and funds across different jurisdictions
- Drafting and reviewing legal documents such as memoranda, articles of association, statutes, private placement memoranda, and various contracts
- Reviewing contracts and documents related to private equity and real estate acquisition projects
- Reviewing documentation pertaining to investments made by different entities
- Preparing and revising various contracts such as leases, pledges, loans, CFAs, fiduciary agreements, SPAs, and Share Transfer Agreements
- Communicating with regulatory authorities and external agents to ensure compliance with legal and regulatory requirements across entities
- At least 5 years of experience as a legal counsel specializing in investment funds, preferably within a family office in Luxembourg
- LLM degree (Master of Laws)
- Fluent in both French and English
- Excellent knowledge of corporate structuring techniques and practices
- Strong understanding of regulatory requirements in the investment funds industry
- Experience in drafting and negotiating a wide range of legal documents from a client-investor perspective
- Ability to provide strategic legal advice on complex matters related to investment funds and corporate structuring
- Proven track record of successfully managing legal aspects of investment fund transactions and projects
- Familiarity with Luxembourgish legal and regulatory framework
- Strong analytical and problem-solving skills
- Ability to work effectively in a dynamic and fast-paced environment
